Greenhouse Contract Control: Scope, Payments and Changes Buyers Must Track

A project can have a signed contract and still run on informal decisions. A site supervisor requests a change in a messaging app. A payment is released because material is “almost ready.” A technical clarification remains in an email and never reaches the contract schedule.

The result is not always a dispute. More often, the team simply loses the evidence needed to decide who owes what and when.

Build one contract control index

Start with the parties, contract date, governing law, language, price, currency, tax, Incoterm, milestones and authorized representatives. Record the document hierarchy so the team knows whether the signed specification, proposal or clarification controls when they conflict.

This workbook is not legal advice. A suitable local lawyer should review governing law, liability, security, notices, dispute and termination terms. The project team still needs a practical register that turns those terms into daily controls.

Pay against evidence

A milestone should describe an objective event and its required evidence. “30 percent on manufacture” is unclear. Does manufacture mean materials purchased, frame complete, factory inspection passed, packing list approved or goods ready for shipment?

The Payment Milestones sheet separates the contract trigger, amount, required evidence, technical verification and commercial approval. Use Hold when evidence is incomplete. An invoice starts the payment process; it does not prove the milestone.

Keep notices and decisions traceable

Record the event date, contract reference, notice deadline, date sent, delivery evidence, response date and decision. Notice requirements vary by contract and law, so the team should not assume this register calculates legal deadlines. It makes the dates visible for review.

The Contract Review sheet contains 24 buyer-control questions. Scope and Exclusions provides 24 open lines for measurable obligations. Change Register holds 20 changes, while Notices and Decisions holds 18 records. The dashboard reports open changes and held payments.

Do not merge all acceptance into one word

Mechanical completion, commissioning, performance acceptance and final acceptance may need separate definitions. Link each stage to tests, documents, training, open defects and commercial consequences. State when the warranty begins and what happens to seasonal tests that cannot be completed at handover.

At closeout, reconcile the approved changes with as-built drawings, manuals, software backups, spare parts and the final price. The installed greenhouse should match the record set the operator receives.

No. It is a project-control register. Use the signed contract and obtain project-specific legal advice from suitable local counsel.

Should a buyer pay when equipment is ready but inspection documents are missing?

Follow the contract. Where the milestone requires inspection or document evidence, record the gap and obtain the authorized technical and commercial decision before payment.

What counts as an approved change?

Use the authority and procedure stated in the contract. A controlled change normally records the instruction, scope, technical effect, cost, schedule, acceptance effect and written approval.
